Tom Molony recently authored a new installment of "Business Law Developments" in Notes Bearing Interest, a publication of the Business Law Section of the North Carolina Bar Association.
Molony’s article, which appeared in the February 2012 edition of Notes Bearing Interest, discussed recent court decisions about:
a) the transfer of voting rights in Delaware limited liability companies,
b) the standing of creditors of Delaware limited liability companies to sue derivatively,
c) the aggregation of separate asset dispositions for purposes of determining whether “substantially all” of a company’s assets have been sold,
d) fiduciary duties of directors of North Carolina corporations, and
e) competition by managers of North Carolina limited liability companies.
This was Molony’s sixth such article, either authored or co-authored for the publication, since 2009.
