At the 2011 joint annual meeting of the Business Law, Corporate Counsel and International Law and Practice Sections of the North Carolina Bar Association (NCBA), Elon Law professor Tom Molony delivered the North Carolina Business Law Update. This is the second year in a row that Molony has delivered the Business Law Update, having taken over in 2010 for Wake Forest's Alan Palmiter, who had made the presentation for many years.
Molony’s presentation focused on the implications of significant business cases recently decided by the North Carolina Business Court, the North Carolina Court of Appeals, the Delaware Chancery Court and the Delaware Supreme Court.
Molony discussed cases addressing fiduciary duties, judicial dissolution, measures to obtain board control and ”poison pills,” among others. In particular, he discussed State ex rel. Comm’r Ins. V. Custard, a case decided by the North Carolina Business Court that addressed a number of previously unanswered questions of North Carolina corporate law. Molony also discussed Crown EMAK Partners, LLC v. Kurz and Airgas, Inc. v. Air Prod. & Chem., Inc., both of which were decided by the Delaware Supreme Court and considered attempted amendments to bylaws by shareholders seeking to control the boards of directors of Delaware corporations.
Over the past few years, Molony has published for the NCBA Business Law Section newsletter, Notes Bearing Interest, a series of articles summarizing developments in N.C. business law, sometimes co-authoring those articles with Elon Law Professor Andy Haile.
